Anti-Money Laundering (AML) Disclaimer & Privacy Policy
1. Anti-Money Laundering (AML) & Professional Credentialing Disclaimer
Medical Dental Practice Sales (referred to as "we," "us," or "our") operates under the highest standards of regulatory compliance, integrity, and security within the healthcare M&A sector.
As specialised healthcare business brokers, we are subject to strict legal frameworks concerning Anti-Money Laundering and Counter-Terrorism Financing (AML/CTF). Furthermore, due to the highly regulated nature of clinical dental and medical practices, we enforce rigorous "Know Your Customer" (KYC) and "Know Your Business" (KYB) checks. We must verify the identity and legal/professional standing of all clients, including practice owners (vendors), corporate or private buyers, and ultimate beneficial owners, before disclosing clinical financial data or facilitating any practice acquisition.
What This Means For You
Before we can grant access to an Information Memorandum (IM), release practice financials, or formalise an offer for any medical or dental clinic, you will be required to provide verified documentation, which may include:
- Identity Verification: Government-issued photo identification (e.g., Passport, Driver's Licence) for individuals and ultimate corporate controllers.
- Corporate Structure: Company registration certificates, trust deeds, and partnership agreements identifying all stakeholders.
- Source of Funds: Certified evidence of financial capacity, banking pre-approvals, or proof of legitimate source of funds required to complete a healthcare acquisition.
- Clinical Registration & Compliance: Proof of professional standing, including AHPRA (Australian Health Practitioner Regulation Agency) registration details or corporate medical/dental licensing compliance status where applicable.
We reserve the absolute right to withhold proprietary practice data, cancel registrations, or refuse brokerage services if the requested identity, financial, or professional credentials fail to meet regulatory standards.
2. Privacy Policy (Healthcare Transaction & AML Addendum)
This Privacy Notice explains how we collect, handle, use, and protect the highly sensitive personal and corporate data gathered to satisfy our AML/CTF obligations and professional vetting procedures.
A. Collection of Sensitive Information
We only collect personal and corporate information that is reasonably necessary to fulfil our specialised brokerage functions and comply with federal laws. Because we broker medical and dental practices, this may intersect with confidential commercial data, Medicare provider details, and corporate ownership tracking. We do not collect patient medical records.
B. Data Minimisation and Multi-Layered Security
In compliance with Australian privacy principles and data-protection laws, we enforce a strict policy of data minimisation.
- Where permissible, we utilise secure, digital third-party verification platforms to instantly verify identity, reducing the need to permanently store physical copies of passports or licences.
- All data is protected using enterprise-grade encryption both in transit and at rest to defend against cybersecurity breaches.
C. Permitted Disclosure of Information
Information collected for compliance and identity verification is kept strictly confidential. It is never sold or used for marketing. It will only be disclosed under the following controlled circumstances:
- To secure, compliant third-party identity and credential verification systems.
- To the practice vendor and their authorised legal/accounting representatives, strictly to verify your financial and professional validity before contract execution.
- To government regulators, law enforcement, or statutory bodies (such as AUSTRAC or AHPRA) when legally compelled or permitted by law.
D. Statutory Data Retention
By law, records compiled for AML compliance and corporate transaction histories must be retained by our firm for a minimum statutory period (typically 7 years) after our professional relationship concludes. Upon reaching the end of the statutory period, these records will be securely destroyed or permanently de-identified.
E. Access, Corrections, and Contact
You retain the right to access the personal information we hold about you and request corrections if any details are inaccurate. For all privacy, identity data, or compliance inquiries, please contact our Privacy Officer at phil@medicaldentalpracticesales.com.au.
