How Selling a Practice Works

Our stages of selling take you from a confidential appraisal through to settlement and handover, with Dr Philip Baker managing each step and protecting your patients, staff and goodwill.

  1. Practice Appraisal & Pre-Sale Preparation

We review three years of P&L statements, tax returns, fee schedules and billing data to establish your practice’s true value, then help resolve any operational, HR or lease issues early so it presents as a turnkey practice and achieves the best possible price.

  2. Confidentiality & Finding the Right Buyer

We approach our private database of pre-qualified buyers who have already set their location and budget. No identifying details are released until a buyer has been vetted financially and clinically and has signed a Non-Disclosure Agreement.

  3. Negotiation & Heads of Agreement

Dr Philip Baker, a practising clinician for 28 years who has been both a vendor and a purchaser, handles negotiations with honesty and transparency, resolving hurdles and securing competitive terms in a formal Heads of Agreement.

  4. Liaising with the Professionals

We are your central point of contact, keeping communication open with your healthcare accountant, solicitor, landlord and financiers through financial verification, legal documents, lease changeovers and finance approvals.

  5. Contract Signing & Settlement

We work alongside your solicitors as they finalise the Contract of Sale, vendor disclosure statement and lease assignment, ensuring a smooth contract signing and protecting your interests through to final settlement.

  6. Post-Sale Transition

If you plan to stay on for a transition period, we help negotiate your contractor or employment agreement, and oversee the handover of patient goodwill and staff continuity for a stress-free exit.

How Buying a Practice Works

Our stages of purchasing take you from first conversation to settlement, with Dr Philip Baker coordinating each step alongside your accountant, solicitor and financier.

  1. Initial Enquiry

Contact us to talk through what you are looking for. We will share general information on suitable practices and record your buying criteria.

  2. Confidentiality Agreement

Sign our Confidentiality Agreement to access detailed information about the practices that interest you.

  3. Investigation

Review the information memorandum and financials, and get advice from your accountant, solicitor and financier.

  4. Meet & Inspect

Meet with Dr Philip Baker, then inspect the premises and the business in person.

  5. Heads of Agreement

Once terms are agreed, a Heads of Agreement is signed and a deposit paid. Your solicitors then prepare the contract, including any landlord consents and approvals.

  6. Exchange & Finance

After contracts are exchanged, both parties prepare for settlement: finance approval, contract conditions and assignment of the lease.

  7. Settlement & Handover

The final payment is made to the vendor and you take control of the practice, with our support through the handover.

Frequently Asked Questions

What should I consider when looking at a dental practice for sale?

Look at revenue and profit trends, patient numbers and demographics, location, reputation, the age and condition of equipment, lease terms and the reason for sale. We can help you weigh these up for each practice.

How is a dental practice valued?

An appraisal looks at the financial statements and profitability (usually EBITDA), goodwill, equipment and technology, lease security and comparable practice sales in the market.

How do you keep a practice sale confidential?

Every buyer signs a Confidentiality Agreement before any identifying details are released, and we only share information with buyers who have been vetted financially and clinically.

How long does it take to buy or sell a dental practice?

It depends on the practice and market conditions. Many sales complete within six to twelve months, while others take longer depending on finance, lease negotiations and due diligence.

Can I get finance to buy a dental practice?

Yes. Several Australian lenders specialise in healthcare finance and lend to qualified dentists buying a practice. We can introduce you to experienced healthcare financiers.
